AI in the Boardroom: Directors’ Duties, Reliance and the Business Judgment Rule

Companies are increasingly using artificial intelligence to conduct business operations. Corporate executives prepare AI-assisted summaries for board consideration and directors use AI to digest and summarise complex and lengthy board packs.
This seminar critically examines these developments through the lens of the statutory duty of care and diligence in Australia and in England and Wales. It considers whether reliance on AI outputs might attract a defence analogous to that for expert or delegate reliance, and evaluates the extent to which the business judgment rule offers a viable safe harbour for AI-assisted decision-making.
Jason Harris is Professor of Corporate Law at Sydney Law School and Director of the Ross Parsons Centre for Commercial, Corporate and Taxation Law. His research focuses on the regulation of financially distressed companies, including debt restructuring, directors’ duties during financial distress and the regulation of corporate groups.
He has published 14 books and over 100 papers, and his work is frequently cited by Australian courts, including the High Court of Australia. He is active in law reform through the Governance Institute of Australia, the Australian Institute of Company Directors and the Law Council of Australia, and is a Fellow of the Australian Academy of Law.
